Terms of Service

These Terms are structured for global use with Japanese law as the governing law, incorporating principles of the GDPR and CCPA.
Article 1 (General Provisions & Definitions)
These Terms of Service (the "Terms") set out the conditions for use of "DATAPIQ," an AI business document platform (the "Service") provided by EZS Information System, Inc. (the "Company"). Any individual or legal entity (the "User") who uses the Service is deemed to have agreed to these Terms.
Definitions
- "Service" refers to all services provided at datapiq.com and related domains, including AI-powered reading, journal-entry generation, and export of business documents.
- "User" refers to any individual or legal entity registered with the Service.
- "User Data" refers to files such as invoices, receipts, delivery notes, and quotations uploaded by the User, as well as extracted data.
- "AI Analysis" refers to the document-reading and automatic journal-entry generation functions provided by the AI engine of the Service.
- "Subscription" refers to a recurring contract for a paid plan of the Service.
Article 2 (Account Registration and Management)
- Users shall create accounts using accurate and up-to-date information.
- Account registration may only be performed by the individual themselves or an authorized representative.
- Users shall strictly manage their account credentials (passwords, etc.) and shall not disclose, lend, or transfer them to any third party.
- All actions taken through a User's account are the responsibility of that User.
- If unauthorized access is discovered, the User shall immediately notify the Company.
- The Company may suspend or delete an account without prior notice in the following cases:
- Violation of these Terms
- Account obtained through fraudulent means
- No usage activity for an extended period (12 months or more)
- Deemed inappropriate by the Company
Article 3 (Service Content)
The Service provides the following features:
- PDF/image upload of business documents (invoices, receipts, quotations, delivery notes, etc.) and automatic AI analysis
- Automatic extraction of vendor, amount, date, account, tax category, and other information
- Review, editing, and status management of extracted data
- CSV export for major accounting software including Yayoi, freee, and Money Forward Cloud
- Dashboard visualization of monthly processing volume and review status
- Automatic detection of calculation discrepancies and alert notifications
AI analysis accuracy varies depending on document quality and format. Always verify the output with human review. The Company does not guarantee complete accuracy of AI analysis results.
Article 4 (Fees and Payment)
- The Service offers both a free plan and paid plans (Subscriptions).
- Please refer to the pricing page on the service site for details on each plan and its fees.
- Paid plan fees are charged via credit card through Stripe (Stripe, Inc.). Card information is processed directly by Stripe, which holds PCI DSS Level 1 certification, and does not pass through the Company's servers.
- Subscriptions automatically renew upon expiration. To cancel automatic renewal, please complete the cancellation process from your account settings by the day before the renewal date.
- Cancellation takes effect at the end of the current subscription period. In the case of forced termination due to payment failure, termination occurs immediately after all retry attempts are exhausted.
- Upon termination of a Subscription (whether by end-of-term cancellation or forced termination due to payment failure), account identifying information such as the registered email address will be automatically anonymized. A new registration is required to use the Service again.
- Fees already paid are generally non-refundable. However, this does not apply in cases where the Service was unavailable due to the Company's gross negligence.
- The Company will notify Users of any fee changes by email or in-service notification at least 30 days before the change takes effect.
- Taxes and fees may apply separately based on the User's location and applicable laws.
Article 5 (User Data and Intellectual Property)
- Copyright and other intellectual property rights in User Data belong to the User or the rightful rights holder.
- The Company claims no ownership over User Data.
- Users grant the Company a non-exclusive license to process, store, and display User Data to the extent necessary to provide the Service.
- The Company will not sell, disclose, or share User Data with third parties without the User's prior written consent. However, transmission to external AI engines for AI analysis processing is conducted in accordance with the Privacy Policy.
- Intellectual property rights in the Service's software, brand, UI design, content, and other elements belong to the Company.
Article 6 (Prohibited Activities)
Users shall not engage in any of the following activities:
- Acts that violate these Terms or applicable laws and regulations
- Unauthorized access, reverse engineering, decompilation, or exploitation of vulnerabilities in the Service
- Mass access via automated scraping, bots, crawlers, or similar tools
- Uploading files containing malware or harmful code
- Acts that infringe on the intellectual property rights or privacy rights of third parties
- Use of the Service to process fraudulent or falsified documents
- Acts that interfere with or obstruct the operation of the Service
- Use of the Service for the purpose of collecting personal information from minors
- Use of the Service to develop competing products
- Any other activities that the Company reasonably deems inappropriate
Article 7 (Service Changes, Suspension, and Termination)
- The Company may change the content of the Service without prior notice for purposes such as quality improvement, feature additions, or legal compliance.
- The Service may be temporarily suspended due to scheduled maintenance, incident response, force majeure, or other reasons. The Company will provide advance notice where possible, but this may not be possible in emergencies.
- If the Company terminates the Service, Users will be notified by email or in-service notification at least 30 days in advance.
- Upon service termination, Users will be given an opportunity to export their data in advance.
Article 8 (Disclaimer and Limitation of Warranties)
- The Company provides the Service on an "as-is" basis. To the maximum extent permitted by applicable law, the Company makes no express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.
- AI analysis results are for reference only. Users are solely responsible for final accounting and tax decisions, and the Company accepts no liability for such results.
- In no event shall the Company's total liability exceed the fees paid by the User to the Company during the three (3) months immediately preceding the claim, regardless of the cause of action.
- The Company shall not be liable for the following damages:
- Loss of opportunity, loss of profit, or loss of data by the User
- Damages arising from unauthorized access by third parties (where the Company is not grossly negligent)
- Damages arising from internet connectivity failures or outages of external services
- Damages arising from User error or improper use
In some countries or regions, limitations of liability may not be permitted by law. Mandatory local laws will take precedence.
Article 9 (Personal Information Handling)
- The Company handles Users' personal information in accordance with the separately established Privacy Policy. The Privacy Policy forms part of these Terms.
- The Service is designed with reference to Japan's Act on the Protection of Personal Information (APPI), the EU General Data Protection Regulation (GDPR), and the California Consumer Privacy Act (CCPA).
- During AI analysis processing, the content of uploaded files may be transmitted to external AI engines. For details, please refer to the Privacy Policy.
Article 10 (International Use and Export Controls)
- Although the Service is intended for global use, its use may be restricted or prohibited in certain countries or regions. Users are responsible for complying with the laws of their jurisdiction.
- Users represent that they will not use the Service in countries or regions subject to U.S. Export Administration Regulations (EAR) or Office of Foreign Assets Control (OFAC) sanctions, nor provide it to sanctioned persons or prohibited end users.
- Users accessing the Service from outside Japan are solely responsible for reporting and paying local consumption tax, value-added tax, or other applicable taxes.
Article 11 (Governing Law and Dispute Resolution)
- These Terms shall be governed by the laws of Japan.
- Any disputes arising from the use of the Service shall be subject to the exclusive jurisdiction of the Japanese court with jurisdiction over the Company's location as the court of first instance.
- For Users in the EU, mandatory consumer protection laws of the EU may take precedence over this article.
- Mandatory local laws of the United Kingdom, Australia, Canada, and other jurisdictions also apply.
Before seeking formal dispute resolution, we recommend attempting an amicable resolution through the Company's inquiry form.
Article 12 (Changes to Terms)
- The Company may amend these Terms in the following cases:
- In response to changes in laws and regulations or new regulatory requirements
- Addition, modification, or discontinuation of Service features
- Other cases where the Company reasonably determines it to be necessary
- For material changes, Users will be notified by email and in-service notification at least 30 days before the change takes effect.
- Minor changes (such as typo corrections or clarifications) may take effect immediately.
- Continued use of the Service after any changes constitutes acceptance of the amended Terms. If you do not agree, please submit a request to delete your account.
Article 13 (Miscellaneous)
- If any provision of these Terms is found to be invalid under applicable law, the remaining provisions shall continue in full force and effect.
- Failure by the Company to enforce any right under these Terms shall not constitute a waiver of that right.
- These Terms (including the Privacy Policy and other policies) constitute the entire agreement between the parties regarding use of the Service.
- Users may not assign their rights or obligations under these Terms to any third party without the Company's prior written consent.
- The Company may assign its rights and obligations under these Terms to a third party as necessary.
